NODE — Terms & Conditions

Section 01 — Introduction & The Platform

NODE is a community marketplace operated by NEWMAN-ASSOCIATES (Pty) Ltd ("Newman & Associates", "we", "us"), Malmesbury, Western Cape, South Africa. NODE connects consumers with independent local Service Providers ("SPs") — it lists, connects and moderates. We do not perform, supervise, employ, endorse or guarantee any SP or any service.

By downloading, registering on or using NODE you agree to these Terms in full. If you do not agree, do not use NODE.

Section 02 — Eligibility & Accounts

NODE is for persons 18 years and older. You must provide accurate, current information and keep it updated. Consumer accounts are verified by email; SP accounts by email OTP. You are responsible for activity on your account. One account per person or business; accounts are not transferable.

Section 03 — SP Registration, Approval & Activation

SP registration requires: business/trading name, owner full name, WhatsApp number, ONE primary service category, town, a description of services, and acceptance of these Terms. A profile photo is optional at registration. Further business details (physical address, ID number, occupation, services offered, operating hours and payment methods) are required before a listing goes live and must be completed via the in-app Business Details screen.

Listing is at our sole discretion. All profiles are reviewed before going live. SP profiles are activated immediately and automatically upon successful payment confirmation — no manual activation step is required.

SPs warrant that all information provided is accurate, lawful and their own. We may request, at any time, reasonable evidence that an SP genuinely provides the services listed. Failure to provide reasonable proof within 14 days may result in suspension pending review.

We may edit, suspend or remove any profile that is inaccurate, misleading, offensive or unlawful, and may suspend accounts pending investigation of reports or complaints.

Section 04 — Subscriptions & Pricing

Launch window pricing

SPs who register and pay before 1 January 2027 pay a once-off registration fee of R49. This single payment covers full access through 31 December 2026 — no further monthly payment is required during this period, regardless of the exact date of registration within the launch window.

Standard pricing (from 1 January 2027)

From 1 January 2027, Basic access is billed at R79 per month. This applies to any SP registering on or after 1 January 2027, and to every SP who registered during the launch window once their fixed coverage period (see above) ends on 31 December 2026 — all SPs transition to standard monthly billing on the same date.

Platinum is R129 per month, available from 1 January 2027. Platinum is limited to three (3) SPs per service category per town, with a waiting list when full.

Payment schedule

The first payment is due at registration and is required before the SP's listing goes live. From 1 January 2027, monthly subscription payments fall due on the first day of each calendar month. Payments are processed via Ozow. The platform verifies payment status on every app launch — a listing remains active only while the account is current.

Non-payment and automatic suspension

If a subscription payment is not confirmed by close of business on the due date, the SP's listing and app access are automatically suspended with immediate effect. The SP is directed to the in-app subscription screen to settle the outstanding amount. Access is restored immediately upon payment confirmation. Suspension does not cancel amounts owing.

Price adjustments

The rates set out above remain in effect until we decide to change them. Any future adjustment to standard or Platinum pricing will be notified in writing at least 30 days before taking effect.

Cancellation

SPs may cancel with effect from the end of the current billing month by written notice. No refunds for part-months except as required by law or under Section 10.

Section 05 — Third-Party Payment Processing

Subscription payments and any in-app payment links are processed by Ozow (Pty) Ltd, an independent third-party payment service provider, not by us. Ozow's own terms and privacy policy govern the processing of your payment. We are not liable for any delay, failure, error, outage, or non-settlement of funds caused by Ozow, your bank, or any other party in the payment chain.

Section 06 — Requests (Consumer Service Requests)

Users may post service requests (service needed, area, timeframe). Requests must not contain phone numbers, addresses or other direct contact details — contact happens through NODE messaging. A request is active for 7 days and may be extended once. Users may have up to 3 active requests. A user's requests are visible to Service Providers, not to other users.

Section 07 — Reviews, Reports & Conduct

Reviews are published immediately upon submission. We may remove reviews that are false, defamatory, unlawful, offensive, or unrelated to a genuine service experience. SPs may not solicit, incentivise or fabricate reviews. Every profile carries a Report option. Prohibited platform-wide: harassment, hate speech, unlawful content or services, spam, fraud, data harvesting, and interference with the platform's operation.

Section 08 — Payments Between Consumers & SPs

NODE does not process, hold or guarantee payments between consumers and SPs. All quotations, pricing, payment and disputes relating to services are strictly between the consumer and the SP. We accept no liability for non-payment, overcharging, defective services or payment fraud between users.

Section 09 — Advertising

All advertisements are subject to review and approval before publication. We may reject or remove advertising at our discretion. Advertisers warrant they own or are licensed to use all content submitted and indemnify us against third-party claims arising from their creative.

Section 10 — Suspension, Termination & Refunds

We may suspend or terminate accounts for false information, breach of these Terms, unlawful conduct, repeated unresolved complaints, non-payment, or risk to the platform or its users. Where we terminate an SP's subscription, we refund the unused pro-rata value of the current month — except where termination follows proven fraud, unlawful services or serious misconduct.

Section 11 — Assumption of Risk & Verification

PLEASE READ THIS SECTION CAREFULLY. While SP profiles are reviewed before listing, review is administrative in nature: we do not and cannot guarantee the identity, qualifications, quality, safety, legality or performance of any SP or service. Verification badges indicate completed platform checks only and are not a warranty. Consumers engage SPs at their own election and risk. The platform is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation.

Section 12 — Limitation of Liability & Indemnity

PLEASE READ THIS SECTION CAREFULLY. To the maximum extent permitted by law, Newman & Associates, its director, employees and agents are not liable for any loss, damage, injury or death arising from or connected to services provided by SPs, dealings between users, user content, or the use of or inability to use the platform. Where liability cannot lawfully be excluded, our total aggregate liability to any SP is limited to the subscription fees paid by that SP in the 3 months preceding the claim, and to any consumer, to R1,000.

Section 13 — Intellectual Property

The NODE name, logo, app, designs, systems and platform are the intellectual property of Newman & Associates and may not be reproduced or used without written permission. Users retain ownership of content they submit and grant us a non-exclusive, royalty-free licence to host, display, adapt and promote it on and for the platform.

Section 14 — Referral Programme

Newman & Associates may issue referral codes to authorised introducers ("Scouts") who refer Service Providers to the NODE platform. Scouts are independent introducers and are not employees, agents or representatives of Newman & Associates. Commission rates and payment terms are governed by a separate written agreement between Newman & Associates and each Scout individually.

Section 15 — Mandatory App Updates

NODE may require mandatory application updates from time to time to maintain platform security, compliance or functionality. Users who have not updated to the current minimum required version may be unable to access the platform until the update is completed via the Google Play Store.

Section 16 — Assignment & Business Transfer

We may assign or transfer these Terms, the platform, and our rights and obligations under them — including in connection with a sale, merger or transfer of the business — to a successor who assumes our rights and obligations. Users may not assign their accounts.

Section 17 — Promotional & Marketing Use

From time to time, NODE may create promotional and marketing material to showcase the platform and the local businesses on it. By using NODE as a Service Provider, you consent to your business name, business details, publicly listed content, and images you have uploaded (including your profile picture and any promotional material) being used by NODE for these promotional purposes.

This benefits both parties: NODE promotes the platform, and your business receives free additional exposure as part of that promotion. No separate remuneration is payable to you for this use, beyond the visibility it provides.

This consent is limited to NODE's own promotional and marketing use — it does not extend to selling, licensing, or providing your content to unrelated third parties, nor to using it in a way that misrepresents your business. If you would prefer not to be featured, or wish to have existing material withdrawn, contact us and we will accommodate this request within a reasonable time.

Section 18 — Data Retention & Archive Policy

When a listing, request, job post, classified, review, or account is removed — whether by you, by another user, by an admin, or automatically due to expiry — it is first moved to an Archive, not permanently deleted. Archived content remains recoverable for a period of 30 days from the date it was archived.

After 30 days, archived content is automatically and permanently deleted from our systems. This deletion is irreversible — once the 30-day period has passed, we are unable to recover or restore the content under any circumstances, including at your request.

This policy applies uniformly across all content types on NODE, including but not limited to: Service Provider profiles, consumer accounts, advertisements, community notices, reviews, Requests, Job posts, and Classifieds. If you believe content was archived in error, please contact us within the 30-day window — we cannot assist with recovery after this period has elapsed.

Section 19 — Requests, Jobs & Classifieds (the "Posts" Feature)

This section governs the three distinct post types available under the Posts feature of the app: Requests, Jobs, and Classifieds. Each operates under different rules, set out below.

Requests

Requests allow any user or Service Provider to post that they require a specific service. Posting a Request is free. Responses to a Request are handled through NODE's internal messaging feature.

Jobs

Jobs allow any user or Service Provider to advertise a vacancy. NODE hosts the advertisement only — we do not participate in, mediate, or take responsibility for the hiring process. All communication regarding a Job advertisement — including applications, enquiries and correspondence — is directed externally to the listing organisation or company, via the email address, website, or contact details the lister has provided. NODE's internal messaging feature is not used for Job enquiries.

Classifieds

Classifieds allow the advertising of goods or items for sale, exchange, or giveaway. Where payment is required to publish a Classified, the post is released and made publicly visible only once payment has been confirmed by our payment processor.

All communication regarding a Classified — including enquiries, negotiation, and arrangement of exchange or collection — is conducted externally, through a third-party communication channel of the users' own choosing (for example, WhatsApp, SMS, a phone call, or another messaging application). NODE's internal messaging feature is not used for Classifieds. NODE has no visibility into, control over, or responsibility for any communication that takes place through these external channels.

Reporting irregular behaviour

Any irregular, fraudulent, or suspicious behaviour connected to a Request, Job, or Classified post may be reported to us and will be investigated. Where we reasonably believe a criminal offence may have been committed, we reserve the right to share relevant information with the South African Police Service or another appropriate law enforcement or regulatory authority, for the purposes of investigation.

Safety

Since communication for Jobs and Classifieds happens outside of NODE, users are responsible for safeguarding their own personal information and exercising reasonable caution — including when sharing contact details, arranging to meet in person, or exchanging payment — in exactly the same way they would when responding to any other online advertisement or listing.

Section 20 — Changes, Law & Contact

We may update these Terms; material changes are notified via the app or email at least 14 days before taking effect (30 days for price changes). NODE — Refund Policy

EFFECTIVE: 1 AUGUST 2026

1. Launch Promotional Payment (R49 once-off)

The R49 promotional payment made at signup during the launch window is non-refundable once your listing has been approved and activated, since it covers real platform access and administrative onboarding costs from that point forward. If your application is declined or you withdraw before approval, the payment is refunded in full.

2. Monthly Subscription Payments (from 1 Jan 2027)

Monthly subscription payments are non-refundable for the current billing month once paid, whether you continue using the platform for the full month or not. Cancelling mid-month does not entitle you to a partial refund — your listing simply is not renewed the following month.

3. Admin-Initiated Termination

Where we terminate your subscription for reasons other than proven fraud, unlawful conduct, or serious misconduct (see Section 10), you are refunded the unused pro-rata value of your current billing month. Where termination follows proven fraud, unlawful services, or serious misconduct, no refund is due.

4. Payment Processing Errors

If you are charged in error, contact us immediately. Verified processing errors are refunded in full within 7 business days of confirmation.

5. How to Request a Refund

Email info@newmanassociates.co.za or WhatsApp +27 76 199 9072 with your NODE code and a brief description of the issue. We aim to respond within 3 business days and process any approved refund within 7 business days of approval.

6. Consumer Rights

Nothing in this Refund Policy limits any right you have under the Consumer Protection Act that cannot lawfully be waived.

NODE — Privacy Policy

EFFECTIVE: 1 AUGUST 2026

Section 01 — What We Collect

We collect only what the platform needs to function. Consumers: name, email address, date of birth (to confirm 18+), town, and your activity on the platform (requests, messages, reviews, favourites). Service Providers: business/trading name, owner full name, WhatsApp number, contact number, service category, town, business description, profile photo, NODE code, and subscription/payment status. Where SPs provide additional verification details (physical address, ID number, next-of-kin information) these are stored securely and used only for identity verification — they are never displayed publicly. Photos shared in chat are stored to deliver them to the other party.

Section 02 — How We Use It

To operate the platform: showing SP profiles to consumers, delivering messages and requests, processing subscriptions, moderating reviews and reports, providing support, and meeting legal obligations. We may send service communications. We do not sell personal information.

Section 03 — Where It Lives

NODE runs on Supabase, a secure cloud database platform, with access controls limiting who can see what. Reasonable technical and organisational measures protect personal information against loss, damage and unauthorised access, as required by POPIA.

Section 04 — Sharing

SP profile information (business name, category, town, description, photo, ratings) is public on the platform by design. Consumer names are visible to SPs they interact with. We share information with service providers who process it for us (hosting, communications, payment processing via Ozow) under confidentiality obligations, and where required by law.

Section 05 — Retention

Account information is kept while your account is active. Closed accounts are archived and deleted within 24 months, except records required longer by law (financial records: 5 years).

Section 06 — Your Rights (POPIA)

You may: request access to the personal information we hold about you; ask us to correct or delete it; object to processing; and complain to the Information Regulator (inforeg.org.za). Section 07 — Cookies & Analytics

The NODE app uses only the technical storage necessary to keep you signed in and make the app work. We measure platform activity in aggregate to improve the service; this is not sold or shared for advertising.

Section 08 — Children

NODE is for persons 18 and older. We do not knowingly process the personal information of minors; accounts found to belong to minors are closed and their information deleted.
